Delivery Partner Terms

In short: This is the agreement between you (the Delivery Partner) and Zokit. You are an independent partner who uses the Zokit app to receive and complete delivery jobs — you are not an employee of Zokit. After you're onboarded and verified, orders are assigned to you at a set cutoff time. The next morning you reach the supplier by 10:00 AM, collect the items, and deliver them to customers as per the orders. You must handle goods responsibly. You never handle money: on Pay on Delivery orders the customer pays Zokit directly by UPI, and Zokit confirms the payment before you hand over the goods. You must never accept cash or take a payment into your own account. Conduct yourself safely and professionally.

These Delivery Partner Terms ("Agreement") form a legally binding contract between Zokit Technologies Private Limited ("Zokit", "we", "us") and the individual registering as a delivery partner ("Delivery Partner", "you") on the Zokit platform ("Platform"). By registering, accepting deliveries, or using the Platform as a Delivery Partner, you agree to this Agreement, our Terms & Conditions and Privacy Policy.

1. Independent Partner Relationship

You are an independent contractor providing delivery services. Nothing in this Agreement creates an employment, partnership, agency or joint-venture relationship between you and Zokit. You are free to accept or decline delivery opportunities, subject to this Agreement, and you are responsible for your own taxes, vehicle, equipment, and statutory compliance. Zokit does not guarantee any minimum number of deliveries, earnings, or engagement.

To be onboarded as a Delivery Partner, you must complete our verification process and provide valid documents, which include:

You must be at least 18 years of age and legally permitted to work and drive. All information must be accurate and kept up to date. Zokit may refuse, suspend or revoke onboarding if verification fails or information is inaccurate.

You never handle money. On Pay on Delivery orders the customer pays by UPI to Zokit Technologies Private Limited. The payment goes straight into Zokit's own account. Nothing passes through you, so at no point do you hold any money for Zokit.

8. Insurance and Responsibility

You are responsible for maintaining valid insurance for your vehicle and for complying with applicable law. You are responsible for any accident, injury, loss or damage arising from your acts, omissions, negligence or breach of law during deliveries. 9. Data and Privacy

You will receive customer information (such as name, address and phone number) solely to complete deliveries. You must use it only for that purpose, keep it confidential, not retain or share it, and comply with our Privacy Policy and applicable law. Misuse of customer data is a serious breach.

11. Indemnity

You agree to indemnify and hold harmless Zokit and its directors, employees and agents from any claims, damages, losses, liabilities and expenses (including legal fees) arising out of your deliveries, your breach of this Agreement, your negligence or misconduct, your misuse of customer data, your acceptance of cash or of any payment into an account other than Zokit's, or your violation of any law or third-party right.

12. Limitation of Liability

To the maximum extent permitted by law, Zokit shall not be liable for any indirect, incidental, special or consequential damages, or loss of earnings, arising out of or relating to this Agreement or your use of the Platform. Zokit's total aggregate liability to you for any claim shall not exceed the total payouts made to you in the [e.g. three (3) months — confirm] preceding the claim.

13. Changes to This Agreement

We may update this Agreement from time to time. We will post the revised Agreement and update the "Last updated" date, and where appropriate notify you through the Platform. Your continued use of the Platform as a Delivery Partner after changes take effect constitutes acceptance.

14. Governing Law and Dispute Resolution

This Agreement is governed by the laws of India. The parties will first attempt to resolve any dispute amicably. If unresolved, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Mysore (Mysuru), Karnataka, conducted in English. Subject to arbitration, the courts at Mysore (Mysuru), Karnataka shall have exclusive jurisdiction.
